How to accept this Agreement
You accept this Agreement inside the vendor portal at /vendor/terms. You will be asked to re-accept whenever the version is incremented; previously accepted versions remain attached to your vendor account as a record.
1. Parties and scope
This Vendor Agreement governs the relationship between the marketplace operator (the "marketplace") and you (the "vendor") when you submit a domain name for listing, when a listed domain is sold, or when you receive a payout. The marketplace is a UK private limited company. Your acceptance of this Agreement is required before any listing, sale, or payout activity on the platform.
2. Role of the marketplace
The marketplace operates a curated catalogue of domain names for sale. Some listings are owned by the marketplace; others are submitted by vendors and listed as a channel after review. The marketplace facilitates the listing, the buyer purchase request, and the registrar workflow required to move ownership from the vendor to the buyer. The marketplace does not act as a regulated escrow service, does not collect or store payment card details, does not custody funds, and does not provide investment services.
3. Vendor representations and warranties
By submitting a domain for listing, you confirm that you are the lawful owner or controller of that domain, that you have the right to sell and transfer it, that the domain does not infringe the trademark or other intellectual property rights of any third party, that the domain is not subject to any undisclosed dispute, and that the listing does not violate the laws of England and Wales or any other applicable jurisdiction. You are responsible for keeping these representations accurate while a listing is active.
4. Listing review and approval
Submitting a domain does not guarantee listing approval, sale, or payout. The marketplace reviews each submission for completeness, accuracy, seller control of the registrar account on file, and transfer readiness. Listings that fail review, that conflict with this Agreement, or that breach applicable law are declined and may be re-submitted only after the underlying issues are resolved.
5. Pricing, offers, and currency
You set the asking price at submission. Prices in the catalogue are stored in euro and displayed to buyers in their chosen currency (EUR, USD, or GBP) using the conversion in force at the time the listing is viewed. When a buyer submits a purchase request, the amount in the buyer's chosen currency is locked at order creation and used for the charge. If a buyer submits a counter-offer rather than the listed price, the marketplace contacts you with the proposed amount and confirms with you before any payment step is started.
6. Marketplace service fee
A marketplace service fee is deducted from the gross sale amount at the time of payout. The fee structure for each listing is shown at submission and recorded on the listing record. Where the third-party payment provider also applies its own processing fee, that amount is additionally deducted. Your payout is the resulting net amount.
7. Payouts and third-party provider
Payouts to vendors are processed by an approved third-party payment provider through a connected-account onboarding flow operated by that provider. You provide your bank or payout details directly to the payment provider and complete any identity and verification checks the provider requires. The marketplace stores only an opaque account reference and the resulting payout status; it does not store IBANs, account numbers, sort codes, SWIFT codes, card details, or any other raw payment instrument information.
8. Transfer readiness and registrar workflow
You agree to keep the listed domain in a transferable state from listing approval until transfer confirmation. This means no transfer lock, no pending deletion, no recent contact changes that would block a clean move, and a working registrar account that you control. After a buyer payment is confirmed, the marketplace coordinates the registrar workflow required to move ownership (registrar push, EPP authorisation code transfer, or registrar-supported ownership update), and you cooperate within a reasonable timeframe.
9. Vendor payout timing
A payout becomes eligible only after the buyer payment is confirmed and the registrar confirms the ownership change in writing. The actual payout date depends on the post-sale checks (transfer integrity, dispute or chargeback signals from the payment provider, and any required cooperation on your part). Eligibility does not imply a fixed timeline. The marketplace makes no representation as to the speed of any specific payout.
10. Cancellations and refunds
A buyer may be entitled to a refund where a sale is cancelled before transfer, where the registrar cannot complete the transfer, or where the domain becomes unavailable after payment. If a refund is processed, the affected payout is reversed or withheld accordingly. The marketplace will contact you before adjusting an in-flight payout where reasonably possible.
11. Prohibited listings and conduct
You must not submit domain names that infringe third-party trademarks, that are subject to active legal disputes, that are associated with phishing, malware, or other abuse, or that you do not lawfully control. You must not attempt to circumvent the marketplace by completing a sale outside the platform, to misrepresent your identity, or to interfere with the registrar workflow. Listings that breach these conditions are removed and may be reported to the relevant registrar and to law enforcement where appropriate.
12. Personal data
The personal data collected from you at registration (contact name, email address, account type, country, and optional phone number, and where applicable company name and registration or VAT number) is processed under the Privacy Policy. The marketplace does not collect or store financial onboarding documents or identity documents; that activity sits with the third-party payment provider during its connected-account onboarding.
13. Suspension and termination
The marketplace may suspend a vendor account or remove a listing where this Agreement is breached, where listing details cannot be confirmed, or where the marketplace receives credible evidence of fraud, abuse, or registrar manipulation. You may close your vendor account at any time by contacting the vendor enquiry channel, subject to completion of any in-flight orders and any holds required by the payment provider.
14. Liability
To the maximum extent permitted by law, the marketplace excludes liability for indirect or consequential losses arising from a listing, including loss of profit, loss of business opportunity, and reputational harm. Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully limited.
15. Governing law and disputes
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with this Agreement, except where mandatory consumer protection law of the vendor's country of residence applies.
16. Changes to this Agreement
This Agreement may be updated. When the content changes materially, the version is incremented and you are asked to re-accept the new version before submitting further listings or initiating further payouts. Previously accepted versions remain attached to your account as a record of the terms in force at each point in time.
